Welcome to Autonoms, a global platform connecting automation creators and buyers through a secure marketplace backed by escrow, quality standards, and deployment guarantees. These Terms and Conditions (“Terms”) govern your access to and use of the Autonoms website, applications, tools, and related services (collectively, the “Platform”).
By creating an account, purchasing or selling automations, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use Autonoms.
1. Definitions
For clarity and consistency, the following capitalized terms have specific meanings within these Terms:
“Account” means a registered user profile required to access and transact on the Platform.
“AI Agent” or “Automation” refers to any pre-built workflow, integration, or automation product listed, sold, or deployed through Autonoms.
“Autonoms AI Talent Network” refers to ongoing, subscription-based automation management services offered by Sellers to Buyers via Autonoms.
“Approval Workflow” means the review and validation process every Seller submission must pass before publication in the Marketplace.
“Buyer” means any User who purchases or licenses an AI Agent or automation service from a Seller via the Platform.
“Commission” means Autonoms’ transaction fee (typically between 5–10%) deducted from Seller payouts.
“Definition of Done” or “DoD” refers to the quality, functionality, and delivery criteria required before an escrowed payment is released to the Seller.
“Escrow Account” means Autonoms’ internal wallet system backed by Stripe, holding Buyer funds until the automation meets the DoD.
“Marketplace” means the public-facing section of the Platform where automations are listed and sold.
“Seller” means any User approved to list, sell, or deploy automations through the Platform.
“Services” collectively refer to all tools, applications, features, and integrations provided by Autonoms.
“User” means any individual or business accessing or using the Platform, whether as a Buyer, Seller, or visitor.
2. Overview of the Platform
Autonoms is a global marketplace for AI automations (“Agents”) that allows Sellers to upload, document, and monetize pre-built automations and Buyers to purchase and deploy them securely.
The Platform provides:
- An integrated escrow payment system ensures safe transactions.
- Approval and compliance workflows guaranteeing agent quality and functionality.
- A Definition of Done (DoD) standard for delivery verification.
- Built-in communication tools and dispute resolution mechanisms.
- An optional Autonoms AI Talent Network program for ongoing automation support.
Autonoms acts solely as a technology intermediary facilitating transactions between independent Buyers and Sellers.
3. Eligibility
You must be at least 18 years old to register for an Account.
By using the Platform, you represent and warrant that:
- You have legal capacity to enter into binding agreements.
- All information you provide is accurate and complete.
- You will comply with these Terms and applicable laws.
If you are registering on behalf of a business, you affirm that you have authority to bind that entity.
4. Account Registration and Security
To use the Platform, Users must register an Account. You agree to:
- Maintain accurate and updated information.
- Keep your credentials confidential and not share access.
- Notify Autonoms immediately of unauthorized use or security breaches.
Autonoms may suspend or terminate Accounts involved in fraud, misuse, or violations of these Terms.
5. Use of the Platform
Users agree to use Autonoms only for lawful purposes and in compliance with all applicable laws and policies.
Prohibited uses include:
- Circumventing the Platform to engage or pay off-platform.
- Misrepresenting identity or automation functionality.
- Uploading malicious code or performing security intrusions.
- Collecting or harvesting other Users’ data.
- Reverse-engineering the Platform or copying its features.
Autonoms reserves the right to remove any content or Account that breaches these rules.
6. Marketplace Structure
The Autonoms Marketplace enables Sellers to:
- List pre-built automations with required documentation, demo videos, tool dependencies, and setup instructions.
- Set prices consistent with Marketplace standards.
- Participate in the Approval Workflow prior to listing.
Buyers may:
- Browse, purchase, and deploy approved automations.
- View transparent pricing, required tools, subscription costs, and setup details.
- Track purchase status and escrow release through their dashboards.
Autonoms does not own or warrant third-party tools or APIs used in automations.
7. Seller Responsibilities
Sellers agree to:
- Submit only functional, secure, and well-documented automations.
- Disclose all dependencies, costs, and third-party tools.
- Follow Autonoms’ Approval Workflow and respond promptly to Requests for Information (RFI) or Change (RFC).
- Deliver and deploy purchased automations in accordance with the Definition of Done (DoD).
- Provide at least one week of post-deployment support for bug fixes and optimizations.
- Adhere to all marketplace guidelines, including pricing and review policies.
Failure to meet these standards may result in suspension, withholding of funds, or permanent removal from the Platform.
8. Buyer Responsibilities
Buyers agree to:
- Provide accurate business and technical information necessary for deployment.
- Maintain valid subscriptions to all required third-party tools.
- Respond promptly to Seller communications, demos, and deployment scheduling.
- Confirm completion and functionality of the automation once DoD is satisfied.
- Engage only through Autonoms’ Platform for communication and payment.
9. Definition of Done (DoD)
The Definition of Done represents the objective criteria required before escrow release:
- The automation performs as described and runs end-to-end using the agreed tools.
- It is deployed directly into the Buyer’s environment (e.g., Zapier, Make, n8n).
- All promised customizations (within scope) are complete.
- A successful live test or demo is conducted with Buyer sign-off.
- Documentation, setup guides, and ownership transfer are delivered.
- No sensitive credentials are exposed.
Once verified, Buyer approval triggers escrow release to the Seller.
10. Escrow and Payment Terms
Autonoms’ internal wallet system, backed by Stripe, manages all financial transactions.
Process:
- Buyer’s payment is securely deposited into escrow upon purchase.
- Seller begins work after confirmation of escrow funding.
- Funds remain locked until the automation meets the DoD.
- Upon Buyer approval, escrow is released to the Seller minus applicable fees.
Fees and Commissions:
- Autonoms charges Sellers a 5–10% commission on successful transactions.
- Buyers may incur small transaction fees depending on region and payment method.
Refunds and Disputes:
Refunds are available only through the formal Dispute Resolution process (Section 16).
All payments are final once escrow is released.
11. Pricing and Transparency
Sellers must set transparent prices aligned with agent size and complexity:
- Small Agents: $50–$200
- Medium Agents: $200–$500
- Large Agents: $500–$1,000
- Custom / Enterprise: $1,000+ or contract-based
Listings must include:
- Estimated deployment timeline (usually ≤7 days)
- Required third-party subscriptions
- Expected time/cost savings for Buyers
- Demo video and full setup documentation
Autonoms may adjust or hide listings that violate pricing or quality guidelines.
12. Autonoms AI Talent Network (Ongoing Engagements)
Buyers may extend collaboration beyond one-time purchases through Autonoms AI Talent Network:
- Engagements can be monthly retainers, milestone projects, or hourly contracts.
- Payments continue to flow through escrow for protection.
- The same DoD, review, and dispute policies apply.
- Sellers are expected to maintain confidentiality and ongoing compliance.
These engagements turn automation deployment into continuous workflow optimization under Autonoms’ protection.
13. Security and Data Protection
Autonoms prioritizes data privacy and integration security:
- Automations are deployed directly in Buyer environments; Sellers never host Buyer data.
- All connections use OAuth authentication—no passwords or API keys are shared.
- Buyers retain administrative ownership of deployed automations.
- Sellers may not retain access post-deployment.
- Autonoms complies with major U.S. data protection standards and offers optional GDPR protections for EU Users.

14. Reviews and Ratings
After completion:
- Buyers must leave a review rating the Seller on delivery time, communication, responsiveness, and quality.
- Autonoms also issues internal review scores during the Approval Workflow.
Ratings affect search ranking, eligibility for promotion, and account status.
Sellers may request review moderation if feedback violates policy or is demonstrably false.
15. Off-Platform Conduct
All communication, contracting, and payments must remain inside Autonoms.
Engaging outside the Platform voids:
- Escrow protection
- Conflict resolution eligibility
- Rating and review credibility
- Account standing
Repeated off-platform activity may result in immediate suspension or permanent ban.
16. Dispute Resolution
If a Buyer or Seller disputes a transaction:
- Escrow funds remain frozen until resolution.
- Autonoms reviews project records, communications, demo sessions, and DoD evidence.
- Outcomes may include full payment, partial refunds, or cancellation.
- Autonoms’ decision is final for all transactions conducted through the Platform.
Unresolved issues proceed to binding arbitration under Section 25.
17. Intellectual Property
Seller Rights: Sellers retain IP ownership of automations they create.
Buyer License: Upon payment and deployment, Buyer receives a perpetual, non-exclusive license to use, modify, and extend the automation internally.
Custom Projects: Exclusive ownership terms may be agreed separately via written contract.
Platform IP: The Autonoms Platform, trademarks, and systems remain property of Autonoms Inc.
Sellers may not include copyrighted or proprietary materials without proper rights or permissions.
18. Confidentiality
Both Buyers and Sellers agree to maintain confidentiality regarding:
- Business processes, data, or tools shared during engagements.
- Private communications and deployment details.
Autonoms may access limited data solely to verify compliance, resolve disputes, or maintain service operations.
19. Liability and Indemnity
Autonoms provides the Platform “as is” without warranties, express or implied.
To the fullest extent permitted by law:
- Autonoms is not liable for indirect, incidental, consequential, or punitive damages.
- Our total liability shall not exceed the total fees paid to Autonoms in the preceding three months.
Users agree to indemnify and hold harmless Autonoms, its affiliates, employees, and contractors from any claims or damages arising from:
- Breach of these Terms
- Violation of laws
- Disputes between Buyers and Sellers
20. Termination
Autonoms may suspend or terminate Accounts that:
- Violate these Terms or applicable laws
- Attempt off-platform transactions
- Engage in fraud, abuse, or misconduct
Users may close Accounts anytime.
Termination does not affect pending escrow funds, legal obligations, or accrued rights.
21. Accessibility and Compliance
Autonoms strives for accessibility and regulatory compliance globally.
Users are responsible for ensuring their automations comply with regional laws, including export controls and data regulations.
22. Force Majeure
Autonoms is not liable for failure to perform due to causes beyond its reasonable control, including natural disasters, power failures, strikes, or government restrictions.
23. Modifications
Autonoms may update these Terms periodically.
Changes take effect upon posting. We will notify Users of major updates via email or in-app notice.
Continued use of the Platform constitutes acceptance of revised Terms.
24. Notices and Communication
Official communications will be sent via:
- Email to your registered address
- In-app notifications within the Platform
Notices to Autonoms should be sent to legal@autonoms.ai.
25. Governing Law and Arbitration
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
All disputes shall be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association (AAA).
Each party waives the right to a jury trial or class action. The prevailing party may recover reasonable legal fees.
26. Entire Agreement
These Terms, together with our Privacy Policy, Seller Guidelines, and any supplemental agreements, form the entire understanding between you and Autonoms and supersede any prior discussions or representations.
By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
